20. Claims / Disputes / Resolution / No Class Relief
All claims, disputes, and legal matters arising out of or related to your use of the Site and/or these Terms, including, but not limited to the purchase by you of Company’s product, shall each be referred to herein as a “Dispute” and collectively as the “Disputes.”
By using this Site:
- You agree that the procedures set forth in this Section 20 shall be the exclusive mechanism for resolving any Dispute that may arise from time to time, and the informal resolution procedure described below shall be a condition precedent prior to filing any claim in the applicable state or federal court in Orange County, California, with regard to a Dispute.
- You agree that prior to filing any litigation as described in this Section 20, the parties shall engage in good faith, informal efforts to resolve any Dispute, with the exception of any Disputes pertaining to the Company's intellectual property rights. The party with a Dispute and seeking resolution shall provide written notice of same to the other party with a detailed description of the Dispute and the facts supporting the alleged matter verified by signature of the party. For a period not to exceed sixty (60) days after receipt of such notice, the parties shall work in good faith to resolve the Dispute, including through telephone or video conferences. To notify you, the Company shall contact you at your most recent billing address or the billing and/or shipping address in your online profile.
- You agree that these Terms and the Site and any Dispute between you and the Company shall be governed in all respects by the laws of the State of California, without regard to choice of law provisions.
- If the informal dispute resolution described above cannot resolve the Dispute, you agree that all Disputes shall be resolved individually, without resort to class action except as prohibited by applicable law or in conflict with any statutory rights of consumers and shall be exclusively brought in the applicable state or federal courts of Orange County, California. AGREEMENT TO THESE TERMS CONSTITUTES AN AGREEMENT TO PURSUE YOUR DISPUTE ON AN INDIVIDUAL BASIS AND A WAIVER OF THE ABILITY TO PURSUE YOUR DISPUTE IN A CLASS ACTION.
- You agree and consent to waive all defenses of lack of personal jurisdiction and forum non conveniens (i.e., inconvenient forum) with respect to venue and jurisdiction in the state and federal courts of Orange County, California. You consent to exclusive jurisdiction and venue in these courts.
- You agree that any and all claims be brought by you within one (1) year after the claim arises, except to the extent a longer period is required by applicable law.
21. Investigations
The Company reserves the right to investigate suspected violations of these Terms, including without limitation any violation arising from any submission, posting, or e-mails you make or send to the Site. The Company may seek to gather information from the user who is suspected of violating these Terms, and from any other user. The Company may suspend any users whose conduct or postings are under investigation and may remove such material from its servers as it deems appropriate and without notice. If the Company believes, in its sole discretion, that a violation of these Terms has occurred, it may edit or modify any submission, posting, or e-mails, remove the material permanently, cancel postings, warn users, suspend users and passwords, terminate accounts or take other corrective action it deems appropriate. The Company will fully cooperate with any law enforcement authorities or court order requesting or directing the Company to disclose the identity of anyone posting any e-mails, or publishing or otherwise making available any materials that are believed to violate these Terms.
